These Terms & Conditions ("Terms") govern your access to and use of the SG Scholars websites, learning platform, courses, educational content and related services operated by Gates Digital Pte Ltd ("Gates Digital", "SG Scholars", "we", "us" or "our").

By accessing our Platform, creating an account, purchasing a course, or using any SG Scholars service, you agree to be bound by these Terms.

1. About SG Scholars

SG Scholars is an online education platform operated by Gates Digital Pte Ltd, Singapore.

Our services may include academic programmes, preschool education, English, Mathematics and Science courses, Future Skills programmes, live online classes, recorded lessons, assessments, learning resources, progress tracking and certificates.

We may update, modify or introduce new services from time to time.

2. Eligibility and Parental Consent

SG Scholars provides educational services for children and young learners.

Where a student is under 18 years of age, the account must be created or supervised by the student's parent or legal guardian.

By registering a minor, the parent or legal guardian confirms that they have the authority to provide the required consent and agree to these Terms on behalf of the student.

Parents and guardians are responsible for supervising the student's use of the Platform and ensuring that the student follows these Terms.

3. Account Registration

You must provide accurate and complete information when creating an account.

You are responsible for maintaining the confidentiality of your account credentials and for activities conducted through your account.

Accounts must not be:

Shared with unrelated individuals;
Used by another person without authorisation;
Created using false information; or
Used to circumvent Platform restrictions.

We may suspend or terminate accounts that violate these requirements.

4. Course Enrolment and Access

Course details, including programme content, duration, schedule, delivery method, age range and applicable fees, will be provided on the relevant course or checkout page.

Access to a purchased course is provided to the enrolled student only.

Where a course is advertised as providing "Permanent Access", this means continued access to the purchased course materials for as long as SG Scholars continues to operate and provide those materials.

SG Scholars reserves the right to reasonably update, replace or modify course content, instructors, schedules, learning materials or Platform features.

5. Live Classes and Attendance

Some programmes may include live online classes delivered through Zoom or other third-party platforms.

Students are expected to attend classes on time and behave respectfully towards instructors and other students.

Students are responsible for having a suitable device, internet connection and environment for participating in online classes.

Missed live classes do not automatically qualify for a refund or replacement class. Where available, recorded lessons may be provided for enrolled students.

6. Payments and Fees

All course fees are displayed on the Platform at the time of purchase.

Unless otherwise stated:

Prices are in Singapore Dollars (SGD);
Payment must be completed through an approved payment method;
Enrolment is confirmed only after successful payment; and
Applicable taxes, including GST where required by law, may apply.

You must only use payment methods that you are authorised to use.

7. Refunds and Cancellations

Because SG Scholars provides digital educational content and online services, refunds may be subject to the applicable course's refund policy.

Unless otherwise stated:

Refund requests made before substantial course access may be considered at SG Scholars' discretion;
Once substantial digital content has been accessed, streamed or otherwise made available, the purchase may be non-refundable;
Live course refunds may depend on the programme start date and the amount of the course already delivered or accessed; and
Duplicate or incorrect payments should be reported to us as soon as reasonably possible.

Nothing in this section limits any refund or consumer rights that cannot legally be excluded under Singapore law.

8. Intellectual Property and Course Materials

All SG Scholars content is owned by or licensed to Gates Digital Pte Ltd unless otherwise stated.

This includes course videos, recordings, worksheets, presentations, graphics, animations, illustrations, scripts, audio, music, assessments, educational materials, software, website content, trademarks and branding.

Purchasing a course does not transfer ownership of any intellectual property to you.

You receive a limited, non-exclusive, non-transferable licence to use the purchased materials for the enrolled student's personal, non-commercial educational purposes.

9. Prohibited Use and Content Sharing

You must not, without our prior written permission:

Copy or reproduce substantial portions of course materials;
Record or redistribute live classes;
Download, upload or share course videos publicly;
Share account credentials or course access with unrelated persons;
Sell, transfer or commercially exploit course access;
Upload SG Scholars materials to other websites or platforms;
Remove copyright or ownership notices;
Use our materials to create a competing commercial education service; or
Circumvent any security or access controls.

Unauthorised use may result in immediate suspension or termination of access and may result in legal action.

10. Student Conduct and Online Safety

Students must behave respectfully and appropriately when using SG Scholars.

Bullying, harassment, threatening behaviour, abusive communication, cheating, inappropriate content, unauthorised recording or other serious misconduct is prohibited.

SG Scholars may restrict, suspend or terminate a student's access where necessary to protect students, instructors, employees, the Platform or other users.

Where appropriate, serious incidents may be reported to the parent or legal guardian or relevant authorities.

11. Course Recordings

Certain live classes may be recorded for educational, revision and quality-control purposes.

By participating in a recorded class, students and parents acknowledge that audio, video, names, questions, comments or other information voluntarily shared during the class may appear in the recording.

Students should avoid sharing unnecessary private or sensitive information during live classes.

Recordings will be handled in accordance with our Privacy Policy and applicable Singapore law.

12. Certificates and Learning Outcomes

SG Scholars may issue certificates or other recognition upon completion of applicable programmes.

Unless expressly stated otherwise, SG Scholars certificates are certificates of participation or completion and do not constitute government-accredited academic qualifications.

We do not guarantee any particular academic grade, examination result, school admission, employment opportunity or other specific educational outcome.

13. Privacy and Personal Data

SG Scholars may collect and process personal information necessary to provide our services, including account information, parent or guardian information, student information, learning progress, payment information and communications.

Where applicable, personal data will be handled in accordance with Singapore's Personal Data Protection Act 2012 (PDPA) and our Privacy Policy.

Parents and legal guardians are responsible for reviewing our Privacy Policy when registering a minor.

14. Third-Party Services

SG Scholars may use third-party services such as payment processors, Zoom, hosting providers, content delivery networks, email providers, analytics services and other technology providers.

Your use of certain third-party services may also be subject to their own terms and privacy policies.

SG Scholars is not responsible for interruptions or failures caused solely by third-party services that are outside our reasonable control.

15. Platform Availability and Disclaimer

We make reasonable efforts to keep the Platform available and operational. However, we do not guarantee that the Platform will always be uninterrupted, error-free, secure or available on every device or network.

The Platform may occasionally be unavailable due to maintenance, technical problems, internet disruptions, cybersecurity incidents, third-party service failures or other circumstances beyond our reasonable control.

Educational content is provided for learning purposes and does not constitute professional medical, legal, psychological or other professional advice.

16. Limitation of Liability

To the maximum extent permitted by Singapore law, Gates Digital Pte Ltd and SG Scholars shall not be liable for indirect, incidental, special or consequential losses arising from your use of the Platform.

Where liability cannot legally be excluded, our liability will be limited to the extent permitted by law.

To the maximum extent permitted by law, our total liability relating to a particular paid course or service shall not exceed the amount actually paid for that course or service.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

17. Suspension and Termination

We may suspend or terminate an account if we reasonably believe that:

These Terms have been breached;
The account has been used fraudulently;
Course materials have been unlawfully distributed;
Payment has been reversed or obtained unlawfully;
The account presents a security risk; or
Suspension or termination is required by law.

Where an account is terminated due to a serious breach of these Terms, access to courses, recordings, learning materials and other Platform features may be withdrawn without refund, subject to applicable law.

18. Changes to These Terms and Governing Law

We may update these Terms from time to time. The latest version will be published on the Platform together with the updated effective date.

Your continued use of SG Scholars after the updated Terms take effect constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the Republic of Singapore. Any dispute arising from or relating to these Terms or the SG Scholars Platform shall be subject to the jurisdiction of the courts of Singapore, subject to any mandatory rights or remedies available under applicable law.
